1. Definitions

Program Products: Refers to the Program Products identified in this Agreement and any subsequently ordered Program Products.

Licensed Program: Program material provided in machine-readable or interpreted form.

Related Materials: Includes operating instructions, input information, instructional documentation, etc.

Designated Computer System: The computer system identified in this Agreement capable of utilising the Licensed Program.

Operating System Software: Software enabling operation of the Designated Computer System.

Installation Support: Includes hardware orientation, application services, and consulting support.

Training: Refers to MACE’s training courses at prevailing rates.

2. Licence

MACE grants a personal, non-exclusive, and non-transferable licence to use the Program Product(s) on the Designated Computer System.

3. Period of Licence

The licence period is determined within the agreement.

4. MACE’s Main Obligations

4.1 Delivery

MACE will deliver the current version of the Licensed Program(s).

4.2 Support

Support categories determine revisions and patches provided.

4.3 Warranty

Products classified as Categories A or B are warranted for one year.

4.4 Malfunction Definition

Failures are considered deviations from design specifications.

4.5 Additional Services

Additional programming services will be charged at standard rates.

4.6 Patent and Copyright Indemnity

MACE will defend against infringement claims if notified promptly.

5. Customer’s Main Obligations

The Customer shall not disclose Program Products without MACE’s consent.

Proper supervision and training of operators are required.

Errors must be reported, and backup copies are limited to one per system.

6. Prices

MACE reserves the right to revise prices. Charges exclude VAT unless stated.

7. Payment

Payments are due on delivery or within 15 days for support and training.

Late payments may incur a 2% per month charge.

8. Licence Redesignation

The Customer may redesignate a computer system upon agreement.

9. Limitation of Liability

MACE is not liable for consequential loss, delays, or indirect damages.

Total liability will not exceed the amount paid by the Customer.

10. Information and Representations

Statements regarding product performance are expectations, not guarantees.

11. Termination

MACE may terminate agreements for non-payment or contract breaches.

12. Force Majeure

MACE is not liable for delays due to factors beyond its control.
